General Terms and Conditions of Sale

Effective from 22.07.2025

The General Terms and Conditions of Sale (hereinafter referred to as the "GTCS") set forth the general provisions of Sales Agreements, defining the principles for concluding Sales Agreements for Goods offered by YUKI SAUNA SP. Z O.O. and their execution by the Parties. Additionally, they contain essential information regarding the Seller, its business activities, and consumer rights. The GTCS constitute an integral part of the agreements entered into. The GTCS are addressed to both Consumers and Entrepreneurs, with the reservation that not all provisions of the GTCS apply to both groups of Clients. These GTCS are provided to the Buyer along with the offer to sell Goods, either in paper form or electronically (via email). The document is also available on the Seller's website at www.yukisauna.com.

§1

Definitions

1. Civil Code – the Civil Code Act dated April 23, 1964. 2. Seller – YUKI SAUNA SP. Z O.O. 3. Buyer/Client – any entity purchasing Goods. 4. Consumer – a natural person entering into a legal transaction with the Seller that is not directly related to their business or professional activity (Art. 22¹ of the Civil Code). The GTCS provisions applicable to Consumers also apply to a natural person entering into a Sales Agreement directly connected with their business activity, where the content of the Sales Agreement indicates that it does not have a professional nature. 5. Parties – the parties to the Sales Agreement, collectively referred to as the Seller and the Buyer. 6. Goods – items offered for sale by the Seller, particularly saunas, which are the subject of the Sales Agreement between the Buyer and the Seller. 7. Distance Agreement – an agreement concluded with a Consumer as part of an organized system for concluding contracts remotely, without the simultaneous physical presence of the Parties (Art. 2, Point 1, of the Consumer Rights Act). 8. GTCS – these General Terms and Conditions of Sale. 9. Sales Agreement – a sales agreement for Goods entered into or concluded between the Buyer and the Seller using means of remote communication. 10. Consumer Rights Act – the Act of May 30, 2014, on Consumer Rights.

§2

Seller Identification Data

1. Sales are conducted by YUKI SAUNA SP. Z O.O., with its registered office in Kraków, address: ul. Kluczborska 29/6, 31-271 Kraków, entered in the Register of Entrepreneurs of the National Court Register maintained by the District Court for Kraków-Śródmieście in Kraków, XI Commercial Division of the National Court Register, under KRS number: 0001182357, NIP: 9452313570, REGON: 54215636600000, share capital: PLN 20,000, email: [email protected], phone: +48 504 206 695. 2. The Client may contact the Seller using the contact information provided above.

§3

Offer

1. The Buyer may submit inquiries (orders) for Goods via email (to the Seller's email address) or orally (by phone). 2. Advertisements, price lists, announcements, and other information published on the Seller's website constitute an invitation to submit an offer and do not constitute an offer within the meaning of the Civil Code. 3. When requesting an offer, the Buyer should provide: contact details, specifications for the Goods, preferred delivery method, and preferred payment method. 4. By submitting an inquiry, the Buyer declares that all data provided in the order are true. 5. In response to the Buyer's inquiry, the Seller prepares an individual sales offer sent via email. The GTCS are attached to the offer. 6. The Seller's offer specifies: total price including taxes, deposit amount (30% of total price), delivery costs, payment method and deadline, order processing timeline, and a statement that these GTCS constitute an integral part of the offer. 7. Unless specified otherwise, the Seller's offer remains valid for 20 days from the date it is presented to the Buyer. 8. The Seller reserves the right to decline preparing an offer due to lack of Goods or other justified reasons. 9. In the event of refusal, the Seller shall promptly inform the Buyer. 10. Goods delivery is possible within Poland and to EU countries, subject to the Seller's explicit agreement.

§4

Confirmation of Acceptance of Offer – Conclusion of Agreement

1. Confirmation of acceptance of the offer should be made via email to [email protected]. This signifies acceptance of the GTCS. 2. Acceptance with modifications shall be deemed a new offer, requiring separate confirmation by the Seller. 3. A prerequisite for commencing the order is the payment of the advance specified in the offer. Execution begins on the day the Seller receives the advance payment. 4. The Sales Agreement is deemed concluded upon receipt of the Buyer's confirmation. If the advance is not paid within 5 days, the Agreement is deemed not concluded. 5. The order completion date in the offer is approximate. The Seller shall promptly inform the Buyer of delays. The Buyer may set an additional deadline, and after its expiry, withdraw from the agreement. 6. The delivery time is calculated from the commencement of order execution.

§5

Payment

1. The price of the Goods does not include additional costs such as delivery, unloading, or installation. If selected, these will be included in the offer. 2. Release of the Goods requires full payment of the sales price, against which the advance is credited. 3. The remaining amount must be paid no later than the date of Goods release. Late payment incurs statutory interest. The Seller may withdraw from the Agreement after a failed additional payment deadline. 4. A purchase confirmation document (invoice, receipt, or bill) will be attached to the Goods. 5. Ownership transfers to the Buyer only upon full payment.

§6

Delivery/Collection

1. For self-transport, the Buyer must collect Goods from Raba Niżna 314, 34-730 Raba Niżna, within 14 days of notification. After this period, storage costs may apply. 2. If the Buyer chooses Seller's transport, the Buyer bears the indicated transport costs. 3. The Buyer must ensure safe unloading. If unloading is not organized at delivery time, Goods will be returned at the Buyer's expense. 4. Risk of loss or damage passes to the Buyer upon receipt from the carrier, or upon entrustment to a Buyer-chosen carrier, or upon personal collection. 5. Discrepancies or damage must be recorded in the carrier's delivery note upon receipt.

§7

Preparation/Installation/Assembly

1. The Buyer must prepare appropriate infrastructure, including proper ground/foundations for the sauna. The Seller is not liable for damage from improper preparation. 2. Installation/assembly is the Buyer's responsibility unless included in the offer. 3. For saunas, assembly should follow the Seller's installation technical guidelines. The Seller is not liable for damage from incorrect installation by the Buyer.

§8

Warranty for Defects

1. The Seller is obliged to deliver Goods free from defects. 2. Seller's warranty liability is governed by applicable law, particularly Articles 556 et seq. of the Civil Code. 3. For Consumers, warranty liability is governed by Articles 556–576 of the Civil Code. 4. For non-Consumers, warranty liability is excluded. 5. Complaint claims require proof of purchase. 6. Complaints may be submitted in writing to ul. Kluczborska 29/6, 31-271 Kraków, or via email to [email protected]. 7. It is recommended to include: information about the defect, preferred resolution method, and contact details. 8. The Seller may request additional information if the complaint is incomplete. 9. The Seller will respond to Consumer complaints within 14 calendar days. No response implies the complaint is justified. 10. The Buyer will be notified of the outcome via email or postal mail.

§9

Distance Contracts

1. For distance contracts, the Consumer may withdraw within 14 days of taking possession of the Goods, without providing a reason. 2. For multiple Goods delivered separately, the 14-day period runs from receipt of the last item. 3. To withdraw, the Buyer must send a withdrawal statement to the Seller before the deadline expires. A withdrawal form template is available as an attachment to these GTCS. 4. Upon valid withdrawal, the contract is considered null and void, and all payments are subject to refund. 5. The Buyer must return the Goods within 14 days of withdrawal to ul. Kluczborska 29/6, 31-271 Kraków. 6. Refunds of all payments (excluding additional delivery costs beyond the cheapest method) will be made within 14 days using the same payment method. 7. For partial withdrawals, delivery cost refunds are proportionate. 8. The Buyer bears direct costs of returning the Goods. 9. The Seller may withhold reimbursement until receiving the returned Goods or proof of dispatch. 10. The Buyer is liable for diminished value from handling beyond what is necessary to ascertain the Goods' nature. 11. The right of withdrawal does not apply to: fully performed services, price-fluctuation goods, custom/personalized goods, perishable goods, unsealed hygiene products, inseparably mixed goods, alcoholic beverages with agreed price, urgent repairs, unsealed media, newspapers (except subscriptions), public auctions, accommodation/transport/catering services with set dates, and digital content with prior consent.

§10

Out-of-Court Complaint and Claim Settlement Procedures

1. Information about out-of-court procedures is available at consumer ombudsmen offices, consumer protection organizations, and Trade Inspection Authorities. 2. The Consumer may: address a permanent arbitration consumer court, apply to the Provincial Trade Inspection Authority for mediation, or seek free assistance from consumer ombudsmen or organizations. 3. The Consumer may file a complaint via the EU's Online Dispute Resolution (ODR) platform at: http://ec.europa.eu/consumers/odr

§11

Limitation of Liability

The total liability of the Seller for non-performance or improper performance of the Sales Agreement, as well as tort liability, is limited to 100% of the net value of the Goods associated with the sale, delivery, or non-performance of the agreement causing the damage.

§13

Final Provisions

1. The GTCS are made publicly available on the website www.yukisauna.com in a downloadable, saveable, and printable format. 2. The Customer is obliged to familiarize themselves with and accept the GTCS. 3. The Seller reserves the right to amend the GTCS for important reasons (changes in law, payment methods, or delivery methods). Changes will be notified at least 7 days in advance. 4. Matters not regulated by the GTCS are governed by Polish law. 5. The provisions of the GTCS are not intended to exclude or limit Consumer rights. Any ambiguities should be resolved in favor of the Consumer. 6. Disputes shall be resolved by the relevant Polish common court. 7. These GTCS come into effect on 22.07.2025.
